Corporate Governance is one of the key successes for the company to improve their business and economic performance, as well as to meet the global standard requirement. In order to have sustainability every company have to implementing the good corporate governance and its principle. The author thinks that one of the way to see if corporate governance already effective enough are through their internal audit and audit committee. The role of audit committee and internal audit is very important, it also stated in BAPEPAM-LK. There are also many conflict interest or agency problems among Board of Director (BOD), Board of Commissioner (BOC), Management and also shareholders. The primary purpose of this research is to understand corporate governance and find out if the company corporate governance is already effective enough trough their Internal audit as well as their audit committee. Since, PT. Indosat Tbk have a good record regarding this area, the author want to see how company compliance with this principles.
